Affiliate Programme Operating Agreement

This Affiliate Programme Operating Agreement (" Agreement ") contains the general terms and conditions governing your participation in the Affiliate Programme (" Programme ").

  • "We", "our" or "us" refers to GoAffPro.com and the Partner Site.

  • "You" or "your" refers to the applicant.

  • "Site" refers to a website.

  • "Partner Site" refers to the e-commerce/retail partner using the GoAffPro affiliate tracking software.

  • "Your site" refers to any site, software application or mobile application (" Mobile Application ") that you link to the Partner Site.

  • "Advertising Fees" refers to the commissions earned for a successful and verified sale of a product on the Partner Site by a customer using your referral link.

BY TICKING THE BOX INDICATING THAT YOU ACCEPT THE TERMS OF THIS AGREEMENT, OR BY CONTINUING TO PARTICIPATE IN THE PROGRAMME AFTER THE PUBLICATION OF A NOTICE OF AMENDMENT, A REVISED AGREEMENT OR UPDATED OPERATIONAL DOCUMENTATION ON THE PARTNER SITE, YOU:

(A) AGREE TO BE BOUND BY THIS AGREEMENT;
(B) ACKNOWLEDGE AND AGREE THAT YOU HAVE INDEPENDENTLY ASSESSED THE MERIT OF PARTICIPATING IN THE PROGRAMME AND ARE NOT RELYING ON ANY REPRESENTATION, WARRANTY OR PROMISE NOT EXPRESSLY SET OUT IN THIS AGREEMENT;
(C) REPRESENT AND WARRANT THAT YOU HAVE THE CAPACITY TO ENTER INTO CONTRACTS (FOR EXAMPLE, YOU ARE NOT A MINOR) AND THAT YOU WILL COMPLY WITH THIS AGREEMENT.

IF THIS AGREEMENT IS ACCEPTED BY A LEGAL ENTITY, THE PERSON ACCEPTING IT REPRESENTS AND WARRANTS THAT HE/SHE IS AUTHORISED TO BIND THAT ENTITY TO THIS AGREEMENT.

1. Description of the Programme

The Programme allows you to promote Products on your site and to earn advertising fees for the Eligible Purchases (defined inArticle 7) made by your end users. A "Product" is any item sold on the Partner Site, unless explicitly excluded (" Excluded Products "). Products may include certain services if expressly included in the Affiliate Programme Commission Schedule.

To support your promotion, we may provide you with data, images, text, link formats, widgets and linking tools (" Content "). The Content excludes any element relating to products not offered on the Partner Site.

2. Registration

To register, you must submit a complete and accurate application. We will assess your application and notify you of its acceptance or rejection. We may refuse your application if your site is deemed inappropriate, in particular if it:

(a) promotes sexually explicit content;
(b) promotes violence;
(c) contains defamatory statements;
(d) promotes discrimination;
(e) encourages illegal activities;
(f) uses trademarks of GoAffPro or its partners without authorisation;
(g) infringes intellectual property rights.

If your site becomes inappropriate after acceptance, we may terminate this Agreement.

3. Links on Your Site

Once accepted, you may display Special Links (trackable links provided by GoAffPro) on your site. These links enable accurate tracking of sales.

For Mobile Applications, you must submit an additional application. Special Links within applications must use theAffiliate API or thePartner API.

4. Programme Requirements

You must comply with the Participation Requirements and any Operational Documentation. In the event of non-compliance, we may:

(a) withhold your advertising fees;
(b) close your accounts;
(c) terminate this Agreement.

You authorise GoAffPro to:

  • Send you emails relating to the Programme;

  • Monitor your site to verify compliance.

5. Responsibility for Your Site

You are solely responsible for your site, including:

  • Its technical operation;

  • The accuracy of product descriptions;

  • Compliance with copyright and applicable laws.

You indemnify GoAffPro against any claim relating to your site.

6. Order Processing

We process orders placed through your Special Links. We may reject orders that do not comply with the terms of the Partner Site.

7. Advertising Fees

You earn commissions on Eligible Purchases :

  • A customer clicks on your Special Link;

  • They purchase a Product within 89 days ;

  • The Product is shipped and paid for.

Exclusions :

  • Cancelled/returned orders;

  • Self-purchases (for you or your relatives);

  • Purchases after termination of the Agreement;

  • Use of unauthorised coupons.

8. Payment of Advertising Fees

Payments are made monthly, approximately 60 days after the end of the month. The minimum threshold is 100 € (NEFT transfers).

Taxes :

  • You must issue a compliant invoice (if applicable);

  • GoAffPro may withhold taxes in accordance with Indian law.

9. Policies and Pricing

Programme customers are customers of the Partner Site. The prices, policies and terms of sale of the Partner Site apply.

10. Identification as an Affiliate

You must not suggest an official partnership with GoAffPro. You must include this notice on your site:

"[Your name] participates in the GoAffPro Affiliate Programme, a programme designed to allow sites to earn advertising fees by promoting links to the Partner Site."

11. Limited Licence

Subject to the terms of this Agreement and solely to promote the Products, GoAffPro grants you a limited, revocable, non-transferable and non-exclusive licence to:
(a) Display the Content on your site;
(b) Use the GoAffPro trademarks in accordance with the Trademark Guidelines.

This licence ends immediately in the event of non-compliance with the Agreement.

API Licence :
By using theAffiliate API, you agree:

  • To use it only for the Programme;

  • To comply with the Technical Specifications provided.

12. Reserved Rights; Submissions

GoAffPro retains all rights to:

  • The Programme, the Special Links, the Content;

  • Its trademarks, domain names and technologies.

If you submit suggestions or modifications to us (" Your Contribution "), you:

  • Assign to us all rights to that Contribution;

  • Warrant that it is original and does not infringe any third-party rights.

13. Compliance with Laws

You must comply with all applicable Indian laws , in particular:

  • Tax rules;

  • Intellectual property rights;

  • Regulations on online advertising.

14. Term and Termination

This Agreement begins upon your acceptance into the Programme and may be terminated at any time by either party.

In the event of termination :

  • You must immediately remove all Special Links and GoAffPro trademarks ;

  • We may withhold commissions for a reasonable period (to verify returns).

Certain clauses survive termination (e.g. liability, confidentiality).

15. Amendments

GoAffPro may amend this Agreement at any time by:

  • Publishing an updated version on the Partner Site ;

  • Sending you an email (minimum notice: 2 business days).

Your continued participation in the Programme constitutes acceptance of the amendments.

16. Relationship Between the Parties

You and GoAffPro are independent entities. This Agreement does not create any relationship of:

  • Partnership;

  • Employer/employee;

  • Franchise.

You may not bind GoAffPro towards third parties.

17. Limitation of Liability

GoAffPro will not be liable for:

  • Loss of profits or data;

  • Indirect or consequential damages.

Its maximum liability is limited to the amount of commissions paid over the last 12 months.

18. Disclaimers of Warranty

The Programme is provided "as is", without warranty:

  • Of continuity;

  • Of accuracy;

  • Of being error-free.

GoAffPro may modify or discontinue the services at any time.

19. Governing Law and Disputes

This Agreement is governed by Indian law.
Any dispute falls under the jurisdiction of the courts of [Haryana].

GoAffPro may seek emergency measures in the event of an infringement of its rights.

20. Miscellaneous

  • GoAffPro may promote products competing with your site;

  • You may not assign this Agreement without our written consent;

  • Conflicting translations are resolved in favour of the English version.

Confidentiality :
You will protect GoAffPro's Confidential Information and will not disclose it.

Mobile Application Policy

To use Special Links in an Approved Mobile Application, you must:

  • Offer the application free of charge ;

  • Not imitate the functionality of the Partner Site;

  • Not include price alerts without authorisation.

GoAffPro may modify this policy at any time.
