Affiliate Program Operating Agreement

This Affiliate Program Operating Agreement (“ CONTRACT ") contains the terms and conditions that govern your participation in the Affiliate Program (" Program ").

  • " We " , " OUR " Or "our" means GoAffPro.com and the Partner Site .

  • " YOU " Or " your " designates the candidate.

  • " Site " means a website.

  • “Partner Site” means the e-commerce/retail partner using GoAffPro affiliate tracking software.

  • "Your site" means any website, software application or mobile application (“ Mobile Application ”) that you link to the Partner Site.

  • “Advertising costs” means commissions earned for a successful and verified sale of a product on the Partner Site by a customer using your referral link.

BY CHECKING THE BOX INDICATING THAT YOU ACCEPT THE TERMS OF THIS AGREEMENT, OR BY CONTINUING TO PARTICIPATE IN THE PROGRAM AFTER THE POSTING OF A CHANGE NOTICE, REVISED AGREEMENT, OR UPDATED OPERATIONAL DOCUMENTATION ON THE PARTNER SITE, YOU:

(A) AGREE TO BE BOUND BY THIS AGREEMENT;
(B) ACKNOWLEDGE AND AGREE THAT YOU HAVE INDEPENDENTLY EVALUATED THE DESIRABILITY OF PARTICIPATING IN THE PROGRAM AND DO NOT RELY ON ANY REPRESENTATION, WARRANTY OR PROMISE NOT EXPRESSLY STATED IN THIS AGREEMENT;
(C) REPRESENT AND WARRANT THAT YOU ARE AUTHORIZED TO ENTER INTO CONTRACTS (E.G., YOU ARE NOT A MINOR) AND THAT YOU WILL COMPLY WITH THIS AGREEMENT.

IF THIS AGREEMENT IS ACCEPTED BY A LEGAL ENTITY, THE PERSON ACCEPTING IT REPRESENTS AND WARRANTS THAT HE/SHE IS AUTHORIZED TO BIND THAT ENTITY TO THIS AGREEMENT.

1. Description of the Program

The Program allows you to promote Products on your site and earn advertising costs for the Eligible Purchases (defined in Section 7 ) made by your end users. A " Product " is any item sold on the Partner Site, unless explicitly excluded (“ Excluded Products "). The Products may include certain services if expressly included in the Affiliate Program Commission Table .

To facilitate your promotion, we can provide you with data, images, text, link formats, widgets and linking tools (« Content "). The Content excludes any element linked to products not offered on the Partner Site.

2. Registration

To register, you must submit a complete and accurate application . We will evaluate your application and notify you of its acceptance or rejection. We may decline your application if your site is deemed inappropriate , especially if it:

(a) promotes sexually explicit content;
(b) promotes violence;
(c) contains defamatory statements;
(d) promotes discrimination;
(e) encourages illegal activities;
(f) uses GoAffPro or its partners’ trademarks without authorization;
(g) violates intellectual property rights.

If your site becomes inappropriate after acceptance, we may terminate this Agreement.

3. Links on Your Site

Once accepted, you can view Special Links (trackable links provided by GoAffPro) on your site. These links allow for accurate sales tracking.

For the Mobile Apps , you must submit an additional application. Special Links in apps must use the Affiliate API or the Partner API .

4. Program Requirements

You must respect the Participation Requirements and all Operational Documentation . In the event of non-compliance, we can:

(a) withhold your advertising fees;
(b) close your accounts;
(c) terminate this Agreement.

You authorize GoAffPro to:

  • Send you emails related to the Program;

  • Monitor your site for compliance.

5. Responsibility for Your Site

You are solely responsible for your site, including:

  • Its technical operation;

  • The accuracy of product descriptions;

  • Respect for copyright and applicable laws.

You indemnify GoAffPro against any claims related to your site.

6. Order Processing

We process orders placed through your Special Links . We may reject orders that do not comply with the Partner Site terms.

7. Advertising Costs

You earn commissions on the Eligible Purchases :

  • A customer clicks on your Special Link;

  • He buys a Product in the 89 days ;

  • The Product is shipped and paid for.

Exclusions :

  • Cancelled/Returned Orders;

  • Self-purchases (for you or your loved ones);

  • Purchases after termination of the Contract;

  • Use of unauthorized coupons.

8. Payment of Advertising Fees

Payments are made monthly , approximately 60 days after the end of the month. The minimum threshold is 100 € (NEFT transfers).

Taxes :

  • You must issue a compliant invoice (if applicable);

  • GoAffPro may withhold taxes as per Indian law.

9. Policies and Pricing

Program clients are clients of the Partner Site . Partner Site prices, policies and terms of sale apply.

10. Identification as an Affiliate

You must not suggest a official partnership with GoAffPro. You must include this notice on your site:

“[Your name] is a participant in the GoAffPro Affiliate Program, a program designed to provide a means for sites to earn advertising fees by promoting links to the Partner Site.”

11. Limited License

Subject to the terms of this Agreement and solely for promoting the Products, GoAffPro grants you a limited, revocable, non-transferable, and non-exclusive license to:
(a) Show the Content on your site;
(b) Use the GoAffPro brands in accordance with Trademark Guidelines .

This license terminates immediately upon breach of the Agreement.

API License :
By using the Affiliate API , you agree to:

  • To use it only for the Program;

  • To respect the Technical Specifications provided.

12. Rights Reserved; Submissions

GoAffPro retains all rights to:

  • The Program, Special Links, Content;

  • Its trademarks, domain names and technologies.

If you submit suggestions or modifications to us (“ Your Contribution "), YOU :

  • We assign all rights to this Contribution;

  • Guarantee that it is original and does not violate any third party rights.

13. Compliance with Laws

You must respect all Indian laws applicable, including:

  • Tax rules;

  • Intellectual property rights;

  • Online advertising regulations.

14. Term and Termination

This Agreement begins upon your acceptance into the Program and may be terminated at any time by one of the parties.

In case of termination :

  • You must immediately remove all Special Links And GoAffPro brands ;

  • We may withhold commissions for a reasonable period (to verify returns).

Certain clauses survive termination (e.g. liability, confidentiality).

15. Modifications

GoAffPro may modify this Agreement at any time in:

  • Posting an updated version on the Partner Site ;

  • Sending you an email (minimum delay: 2 working days ).

Your continuation of the Program constitutes acceptance of the modifications.

16. Relationship between the Parties

You and GoAffPro are independent entities . This Agreement does not create any relationship between:

  • Partnership;

  • Employer/employee;

  • Franchise.

You may not engage GoAffPro with third parties.

17. Limitation of Liability

GoAffPro will not be responsible for:

  • Loss of profits or data;

  • Indirect or consequential damages.

Its maximum liability is limited to amount of commissions paid on the Last 12 months .

18. Warranty Exclusions

The Program is provided “as is” , without warranty:

  • Of continuity;

  • Of accuracy;

  • Of absence of errors.

GoAffPro may modify or discontinue the Services at any time.

19. Applicable Law and Disputes

This Agreement is governed by the Indian law .
Any dispute falls under the courts of [Haryana] .

GoAffPro may request emergency measures in the event of violation of his rights.

20. Miscellaneous

  • GoAffPro may promote products that compete with your site;

  • You may not assign this Agreement without our written consent;

  • Conflicting translations are resolved in favor of the English version .

Confidentiality :
You will protect the Confidential Information of GoAffPro and will not disclose them.

Mobile Application Policy

To use Special Links in a Approved Mobile Application , you must:

  • Offer the application for free ;

  • Do not imitate the functionality of the Partner Site;

  • Do not include price alerts without permission.

GoAffPro may modify this policy at any time.
